Board Resolution to Suspend the Acquisition of Multiple LIR Accounts
Hello, How is this going to work in reality? People who are merging companies or converting companies (for example I'm moving from sole trader to BV), I can no longer make this move happen in RIPE I'm now forced to keep my resources under me as a natural person instead of moving my resources where it belongs: to the BV Billing wise I'm no longer able to use the VAT on my invoice for input VAT (voorbelasting), and the LIR membership belongs to me as a natural person so moving the expense into the BV becomes rather hard to justify. Effectively increasing the cost of being LIR quite a bit. I can understand that there's certain restrictions, but preventing things like company mergers, when you don't allow updating LIR accounts to a new entity seems like an odd thing to do, especially considering that the manual work largely is caused by your own policy. Sent from my iPhone
Actually never mind I guess, it's obviously two separate entities in this case, and will be two different memberships, and I guess that ain't affected by this change

We had exactly the same issue when we moved to a GmbH… RIPE took weeks to comprehend and we now have the sole trader followed by a workaround name with the GmbH. Communication was a mess…. It’s described in the article linked in the announcement;: The workload extends beyond administering the acquisition of an account (set-up, linking accounts to the same members, etc.). Multiple accounts require extra coordination for billing, compliance checks, allocation of voting rights, audits, transfers and closures, and they complicate systems that need to connect account-level information with member-level records. Currently, much of this work is handled manually or through separate, standalone solutions, making it difficult and costly to update or extend our systems and services. The Board discussed the significant investment in administrative systems that would be needed to address this complexity. Regards Sebastian On 30. Dear George, A member has set up an additional LIR account roughly 60 times in the past two years. The issue is not the operational cost to do this (this is already covered by the sign-up and annual fees). This is about maintaining one system that caters for LIR accounts and another system that caters for RIPE NCC members. They are not the same thing, but we maintain them both. See the section “The Hidden Cost of an Exception” in the article on this topic written by my colleague Marco: https://labs.ripe.net/author/marco_schmidt/multiple-lir-accounts-looking-bac... Dear Clément, The issue is not so much with the cost of adding or maintaining individual LIR accounts. My colleague Marco recently published a RIPE Labs article that dives into this in more detail. In that article, he explains that “Most RIPE NCC systems were originally designed around the assumption that a registry account represents one member organisation. Allowing several registry accounts for the same member introduces complexity at almost every layer of the organisation.” There are costs to the organisation (and membership) to this complexity. Marco provides a comprehensive list of the areas in which we experience this. Please see his article at: https://labs.ripe.net/author/marco_schmidt/multiple-lir-accounts-looking-bac... Hello Gabor, Thank you for pointing this out. There is no good solution for now, as if NCC does not allow any additionnal LIR per member, then, there will be additionnal members (with voting rights) using different legal entities (but same shareholders), as stated in the ripe labs article. Isn't it more risky, as those "additionnal members" get voting rights? Maybe we should introduce something like the ability to get inserted in the waiting list as an existing LIR, for a fixed amount (which would be, let's say, something like (signup fee + 4 years of membership), which would roughly be what an additionnal LIR with /24 would cost to an existing structure), and explain where does that fee comes from ? That would cover: ~2 years of waiting + 2 years of allocation before being transferable, and avoid having to create an additionnal LIR, and later, handle a transfer of resource. This is not either a perfect solution, but that would still allow new LIR to come and get inserted in the waiting list with their new membership, and allow existing one willing to "bet on the future" to have a solution out of the transfer/broker market. Kind regards,
Dear Clément, The point about voting rights is valid. However, this is something that potentially affects all membership organisations without multiple account structures, and indeed there is nothing to prevent people from doing it now. It was a concern when additional LIRs were previously restricted, but in reality we have no evidence that people did this in significant numbers. The cost and overhead involved in setting up a significant number of new legal entities to affect voting outcomes is not something we now see as likely given the costs involved, and avoiding this issue with a multiple LIR construction does not seem like the right approach. Your suggestion about allowing a single member to pay to be added to the IPv4 Waiting List is indeed something that we have considered. We believe this, and the current waiting list policy in itself, is something that should be discussed by the community so that we would know our operations are in line with the community’s intentions regarding the allocation of resources (on the waiting list). We plan to bring this up with the community during our update at the Address Policy Working Group session at RIPE 93. Dear Gabor, On what specific legal basis does the RIPE NCC Executive Board consider itself entitled, by unilateral resolution, to deny effect to statutory universal succession in respect of an existing LIR agreement? In KA Finanz, C‑483/14, judgment of 7 April 2016, paragraph 58, the Court of Justice expressly confirmed, in the context of a cross-border merger, that the acquiring company replaces the acquired company as a party to its contracts without novation (https://eur-lex.europa.eu/legal-content/EN/TXT/HTML/?uri=CELEX%3A62014CJ0483) Please identify the precise, legally effective provision of applicable law, the Articles of Association or the relevant agreement on which you rely either to exclude that succession or to require the termination or consolidation of the contractual relationship passing to the acquiring company, and explain how the conditions for its application are satisfied. Dear Michal, The Executive Board resolution may indeed affect cases where after changes between two RIPE NCC members’ business structures (e.g., merger or acquisition), the acquired entity is dissolved. In such cases, the LIR Account Agreement of the dissolved entity will indeed be terminated, based on the resolution. Please allow us to clarify the legal basis for the termination of the RIPE NCC LIR Account Agreement. According to the RIPE NCC LIR Account Agreement, article 6.3, the RIPE NCC is entitled to terminate this agreement with immediate effect, if the Member’s RIPE NCC Standard Service Agreement is terminated for any reason. The Executive Board with this resolution is exercising this right. Looking at the termination clause of the RIPE NCC Standard Service Agreement, article 9.4.g states that the RIPE NCC is entitled to terminate the RIPE NCC Standard Service Agreement with immediate effect on the day on which the Member's membership of the association terminates according to Article 6 of the Articles of Association. And this Article 6 stipulates that the membership ends on the dissolution of the Member, if this Member is a legal entity. Additionally, the RIPE NCC Standard Service Agreement is the agreement that establishes the membership of the entity that signs it with the RIPE NCC (see article 4). If a RIPE NCC Member acquires another RIPE NCC Member in a way that the two entities become one, it is forbidden by Dutch law for one legal entity to maintain two memberships with an association. The same entity cannot have two Standard Service Agreements with the RIPE NCC. Article 9.4.j of the Standard Service Agreement allows the RIPE NCC to terminate a Standard Service Agreements with immediate effect, in case the RIPE NCC cannot reasonably be required to continue the RIPE NCC Standard Service Agreement for reasons that cannot be attributed to the RIPE NCC and for which the RIPE NCC cannot be held accountable by virtue of law, a juridical act or generally accepted principles. Accordingly, in case of an acquisition of two RIPE NCC members, where the acquired Member is dissolved, the RIPE NCC has the right to immediately terminate the Standard Service Agreement of the dissolved Member and subsequently their LIR Account Agreement. Please note that the Executive Board resolution does not affect cases where after changes between two RIPE NCC members’ business structures (e.g., merger or acquisition) both entities still exist. Dear Gabor, On what specific legal basis does the RIPE NCC Executive Board consider itself entitled, by unilateral resolution, to deny effect to statutory universal succession in respect of an existing LIR agreement?
In KA Finanz, C‑483/14, judgment of 7 April 2016, paragraph 58, the Court of Justice expressly confirmed, in the context of a cross-border merger, that the acquiring company replaces the acquired company as a party to its contracts without novation ( https://eur-lex.europa.eu/legal-content/EN/TXT/HTML/?uri=CELEX%3A62014CJ0483 )
Please identify the precise, legally effective provision of applicable law, the Articles of Association or the relevant agreement on which you rely either to exclude that succession or to require the termination or consolidation of the contractual relationship passing to the acquiring company, and explain how the conditions for its application are satisfied.
Administrative inconvenience is not a substitute for legal authority, and citing the Boards own resolution does not establish its power to override existing contractual rights - really.

Dear Clément,
The issue is not so much with the cost of adding or maintaining individual LIR accounts.
Please see his article at:

Hello,
I hardly understand where is the overhead for NCC for those 2% of members: If they already know the organisation with their first membership, why should it be such an overhead to add another one with the same administrative informations? Please, explain !

We had exactly the same issue when we moved to a GmbH… RIPE took weeks to comprehend and we now have the sole trader followed by a workaround name with the GmbH. Communication was a mess….

Hello,
How is this going to work in reality? People who are merging companies or converting companies (for example I'm moving from sole trader to BV), I can no longer make this move happen in RIPE
I'm now forced to keep my resources under me as a natural person instead of moving my resources where it belongs: to the BV
Billing wise I'm no longer able to use the VAT on my invoice for input VAT (voorbelasting), and the LIR membership belongs to me as a natural person so moving the expense into the BV becomes rather hard to justify. Effectively increasing the cost of being LIR quite a bit.
I can understand that there's certain restrictions, but preventing things like company mergers, when you don't allow updating LIR accounts to a new entity seems like an odd thing to do, especially considering that the manual work largely is caused by your own policy.
