Dear RIPE NCC member,

In compliance with the RIPE NCC Articles of Association, the RIPE NCC is calling for nominations to the RIPE NCC Executive Board.

The vacant seats are for two three-year terms and are to fill the places currently held by Nigel Titley and Jánoz Zsakó, whose terms expire in May 2010.

Voting for the appointment of the RIPE NCC Executive Board members will take place at the upcoming RIPE NCC General Meeting (GM). The GM will be held on Wednesday, 5 May 2010 from 16:00-19:00, adjacent to the RIPE 60 Meeting, which takes place from 3-7 May 2010 at the Prague Marriot Hotel, Czech Republic.

You must be registered for the GM if you wish to attend and vote in the Executive Board election. Registration for the GM opens 25 March 2010, and members will be notified when they can register.

If you would like to vote but cannot attend the GM, there are two options that will allow you to vote in the Executive Board elections:

1. Electronic Voting

All RIPE NCC members who are registered contacts will be emailed invitations to register to vote electronically at the GM. If you wish to vote electronically, you must register to do so by 21 April 2010. Electronic voting is available only for the Executive Board elections and not for resolutions to be voted upon at the GM.

2. Proxy Voting

You can be represented by a third party who is not an authorised employee or director. If you wish to do this, please fill out the proxy form and send it to us by 21 April 2010. Any proxy sent to us after this date will not be valid. The proxy form is available to download here:

A nomination for the appointment of a member of the Executive Board requires the written support of at least five members. You must be a RIPE NCC member and a registered LIR contact to support a nomination. Nomination submissions should include the following information:

- Your full name
- Your organisation
- Your LIR RegID
- Name of the candidate you wish to support

Nominations must be submitted by email to <agm-nominations@ripe.net> by Wednesday, 14 April 2010, following the guidelines outlined in article 9 of the RIPE NCC Articles of Association. Excerpts from the Articles of Association are available at the end of this email.

* If there are less than three nominations by 14 April, the RIPE NCC Executive Board will nominate sufficient candidates to ensure there is an election.

Excerpts from the RIPE NCC Articles of Association:

Article [8.2] The Executive Board of the Association shall consist of at least three and at most five natural persons. They shall be members of the Board in personal capacity and do not have to be Members of the Association. Employees of the Association cannot be appointed members of the Executive Board.

Article [9.1] The members of the Executive Board shall be appointed by the General Meeting from a list of nominees to be drawn up by the Members.

A nomination for the appointment of a member of the Executive Board shall need the written support of at least five Members. If three weeks before the General Meeting the number of candidates nominated for appointment as referred to above does not exceed the number of vacancies, the Executive Board shall have to nominate one or more candidates for appointment so that the total number of proposed candidates shall exceed the number of Executive Board members to be appointed by the General Meeting.
