[GM] Executive Board Meeting to Discuss Charging Scheme Input from Members

Dear members, On 6 May, 2024, the Executive Board held a meeting to discuss the input we received from members regarding the Board proposal for the RIPE NCC Charging Scheme 2025. We will publish the minutes as soon as possible, but I want to first give you a summary of the discussions and the outcomes from the meeting. Since we started engaging with the membership on the charging scheme this year, we have received over 400 emails on the topic. For the first time, we also have a member proposal for a GM agenda topic that has received the required number of expressions of support to be added to the GM agenda. Therefore, we felt it was important for the Board to have this extra meeting, review the various points that were brought forward, and consider the next steps in this process. There were many important points to discuss at this meeting, and although the outcome might not please everyone, the Board was fully aligned on how it should move forward. First, we considered again what we had decided upon at the Board meeting in March. The Board consciously did not put forward a proposal to keep the charging scheme as it is because we don’t believe that it would be good governance to make a proposal that leaves us with a large deficit, and good governance is what is expected from us by the members who elect us. Furthermore, some of the suggestions from members would change the funding model in a way that would put the organisation at risk, and while the Board represents the members, it also has legal and fiduciary responsibilities towards the organisation. It is clear that one of the main responsibilities of the Board is to propose a charging scheme that will properly fund the association, and the charging scheme options we put forward will do that for 2025 and 2026. So we will put forward the three options as proposed on 24 April 2024 for members to vote on at the GM[1]. There were many proposals to provide that funding in alternative ways. However, we believe that this is not the right time to make fundamental changes to the charging model. We are about to embark on a full review of the organisation and its structures, and that will take some time. For us to implement that review and any resulting actions, we need stable funding. All three of the proposed options offer us this. We also note that the redistribution mechanism allows us to return any surplus made to the membership in the following year should members vote to do so. The Board and the Managing Director will also continue to work to improve efficiency and identify areas for cost savings. We did consider moving this vote to later in the year, but this would negatively impact our planning for 2025, and it would also distract from the very important discussions we need to have with members during the Activity Plan and Budget process this Autumn. During that discussion, we do expect that the members who are convinced that the RIPE NCC needs to reduce its budget will tell us which services need to be reduced or cut in order to accommodate such a reduction. At our meeting, the Board also discussed the structural review that will take place. This will begin at the RIPE 88 Meeting in two weeks with a BoF on how to build a stable future for the RIPE NCC. We expect that there will be a productive discussion on many issues that need to be resolved so that the RIPE NCC can move forward stably and with a funding model that has the support of its membership. We will keep the membership updated on the outcomes of those discussions and how the members can contribute to the work that will surely emerge from them. Regarding the membership proposal[2], we acknowledge that the threshold was met to add the GM agenda topic “Keep current billing scheme for the next year”. We will add this as a topic to the agenda as required by the Articles of Association. However, this will not be added as a proposed resolution for members to vote on. Articles 15.4, 15.5 and 15.6 of the RIPE NCC Articles of Association do not allow members to propose a Charging Scheme, as reaffirmed by the external law firm that gives us expert advice on Dutch corporate law. This legal framework ensures that a Charging Scheme may only be proposed by those who were elected to serve on the Executive Board, who have better insight into the financials and the operations of the organisation, and who have a duty of care for the well-being of the organisation and are liable in case of mismanagement. Parties without such insight, responsibility and liability may not put forward charging schemes for voting that - although appealing for individual members - may be inappropriate for the sustainability of the organisation. To summarise, the Board recognises the member sentiment and we are committed to addressing it for the long term. However, we must do what we believe is best for the stability of the organisation and its membership, even if it is not an easy or popular thing to do. This is what is required of us when we legally commit to be Board members, and we will faithfully execute on our commitments in this regard. [GM] Final RIPE NCC Charging Schemes for Members to Vote On

Dear all, We have now published the final RIPE NCC Charging Scheme 2025 options that will be voted on by members at the General Meeting on 22-24 May. These can be viewed at: https://www.ripe.net/gm/meetings/may-2024/supporting-documents The outcome is that we propose three charging schemes for the membership to choose from: Model A: LIR fee increase 22.58% (projected income: EUR 41.1M) Model B: LIR fee increase 20.97%, Independent Internet Number Resource Fee Increase 50% (projected income: EUR 41.1M) Model C: LIR fee increase 16.13%, Independent Internet Number Resource Fee Increase 50%, addition of an ASN fee (projected income: EUR 41.1M) All models are based on the existing “one LIR, one fee” approach. The overall goal for the Board in proposing these models is to ensure that we have stability in the short term so we can fulfill the commitments of the RIPE NCC Strategy 2022-2026. And while we do this, we are committed to fully reviewing the charging scheme model in order to arrive at a more sustainable model that will meet the needs of the RIPE NCC membership well into the future. We have closely followed the discussion on the members-discuss mailing list, and we thank all who provided input there. We received over 300 mails from approximately 80 people during the discussions, and we recognise that there is a desire from most of those people to have a different model that differentiates fees based on resource holdings. However, we do not believe that this is the right year to change the existing model. The Board has started the process of carrying out a full review of the RIPE NCC’s funding and governance structures so that there can be a stable and sustainable funding model for the organisation. Our Board colleague, Remco, kicked this off with his article on RIPE Labs that starts the conversation with members and community about the issues we need to address and how we should go about doing that. Remco will also present on this topic at the upcoming RIPE 88 Meeting, and we hope you will participate at that time. To make dramatic changes now, while we are likely to make big changes in the coming year or two, does not seem worthwhile or appropriate at this time, and it might make the job of properly reviewing our structures much more difficult. We understand that this will frustrate those who have argued vigorously for change this year. However, the Board has a responsibility to look after the long-term health of the organisation and we believe strongly that this is the way to do it. We encourage members to continue discussions on the mailing list, and also to contribute to the wider discussions on the long-term future of the RIPE NCC. We will also present on this topic at the General Meeting, where we expect to hear more input from members on the longer-term measures we need to take. In the meantime, we have tried to provide meaningful options for you to consider, and now we pass the responsibility to you, the membership. The following is a summary of the main items from the meeting. [GM] Draft RIPE NCC Charging Scheme 2025 Proposals

Dear RIPE NCC members, We can now share three draft charging scheme models for 2025 that the Executive Board approved with the following resolution at its meeting on 25 March 2024: The RIPE NCC Executive Board approves the submission of the RIPE NCC Charging Scheme 2025 options to the upcoming RIPE NCC General Meeting for members to vote on. - Option A - Charging Scheme as is with 22.58% price increase for the annual contribution per LIR account (EUR 1,900) and a 0% price increase for Independent Internet number resource assignments* (EUR 50) - Option B - Charging Scheme as is with 20.97% price increase for the annual contribution per LIR account (EUR 1,875) and a 50% price increase for Independent Internet number resource assignments* (EUR 75) - Option C - Charging Scheme as is with 16.13% price increase for the annual contribution per LIR account (EUR 1,800), a 50% price increase for Independent Internet number resource assignments* (EUR 75) and a new AS Numbers fee of EUR 50 per assignment *Resources falling under this charge are IPv4 and IPv6 PI assignments; Anycast assignments; IPv4 and IPv6 IXP assignments; and Legacy IPv4 resource registrations through a sponsoring LIR. The full draft charging scheme models are available from the GM Documentation page: https://www.ripe.net/membership/meetings/gm/meetings/may-2024/documentation… Although the proposed models are relatively simple, we provide a calculator where you can see exactly what you would pay under each of the proposed models: https://www.ripe.net/documents/3757/CS2025_Member_Calculator.xlsx The main considerations for the Executive Board in proposing these three models are: 1. The consolidation of LIR accounts, which means the burden to generate sufficient income must be met by fewer accounts 2. Increased costs due to inflation that were previously catered for by the large number of LIR accounts 3. Following the discussions last year and again this year, there appears to be no clear consensus among members on how a category-based model would work and the Board does not wish to put another category model forward at the upcoming GM that will be rejected by the members. Rather, the Board will propose a simple model that guarantees adequate funding for 2025 and 2026 - under this proposal, we expect there would be no need for a fee increase for 2026. The Board will work with the RIPE NCC on a more in-depth consultation with the members aimed at arriving at a sustainable solution for 2027 and beyond, possibly involving a new charging scheme task force. All three proposed models are designed to arrive at the same income of EUR 41.1 million for the RIPE NCC in 2025. This will cover all current services and activities, a 5% staff cost increase, a 2% inflation increase on all non-staff costs, and EUR 1 million for additional work relating to registry complexity and security projects aimed at ensuring the resilience of the Registry and the RIPE NCC more broadly. Any such additional work would be discussed with the membership during Activity Plan and Budget consultations and then need to be approved by the Board. This will also allow some leeway should more LIR accounts close than we expect. It’s important to note that the RIPE NCC aims for an income budget that will provide a surplus, and this means that should we meet our budgetary targets, a surplus can be returned to members in 2026 should they so wish. While the RIPE NCC continues to carry out cost-cutting efforts across the organisation, drastically reducing the budget at this time is not advisable due to the work that needs to be carried out, especially in relation to maintaining high-quality registry services and securing the registry and RIPE NCC systems. Cutting services or activities is not something the Board is planning to do, and such actions would take time and need full consultation with the membership. An overview of the activities and services that the membership fee covers is provided below this email. A nomination for the appointment of a member of the Executive Board shall need the written support of at least five Members and shall be submitted no later than three weeks before the General Meeting. Further, no later than two weeks before the General Meeting, the nominee shall need to submit: (a) a certified copy of their official identification document, (b) a signed statement in which they declare that they shall adhere to the Code of Conduct for candidates for the Executive Board as adopted by the Executive Board and published on the Association's website, and that they have never committed any fraud or other financial misconduct in any jurisdiction, (c) a signed statement in which they declare that they are not: an employee of (i) a legal entity employing a member of the Executive Board or (ii) an Affiliate of a legal entity employing a member of the Executive Board; a significant shareholder of (i) a company in whose capital a member of the Executive Board participates as a significant shareholder or (ii) an Affiliate of a company in whose capital a member of the Executive Board participates as a significant shareholder, it being understood that both the nominee and the member of the Executive Board are regarded to be a significant shareholder if they jointly have a controlling interest in the company or an Affiliate of the company or if one of them has such a controlling interest; a significant shareholder with controlling interest of (i) a legal entity employing a member of the Executive Board or (ii) an Affiliate of a legal entity employing a member of the Executive Board; an employee of (i) a legal entity of which a member of the Executive Board is a significant shareholder with controlling interest or (ii) an Affiliate of a legal entity of which a member of the Executive Board is a significant shareholder with controlling interest; a partner or an employee of a partnership in which a member of the Executive Board participates as a partner or works as an employee; a board member of another RIR, ICANN or ISOC; and a member of the ASO AC. Paragraphs (c) (1), (2), (3), (4) and (5) of this article do not apply with regards to members of the Executive Board whose term expires at the General Meeting in which the elections are held. (d) a signed statement in which they declare (1) the legal entity they are an employee of and the Affiliates of this legal entity, (2) the companies they are a significant shareholder of and the Affiliates of these companies and (3) the partnerships they are a member of or employee of.
